GENERAL TERMS AND CONDITIONS (GTC)
CONSULTANCY SERVICES WITHIN THE FRAMEWORK OF LIMITED LIABILITY COMPANY (SL) INCORPORATION OFFERS

Subject to Spanish Law 7/1998, of 13 April, on General Contracting Conditions.

1. SERVICE PROVIDER

2. ACCESS AND ACCEPTANCE OF THE GENERAL TERMS AND CONDITIONS

The client declares that they have read, understood, and accepted these General Terms and Conditions. Said conditions are permanently accessible to the client on the website where the service offers are displayed (section “General Terms and Conditions apply”), and are also expressly attached during the online payment process prior to the completion of the purchase or contracting. The mere continuation of the payment process or submission of the contracting form implies full acceptance of these GTC.

3.  CONTRACT OBJECT AND SPECIFIC SERVICE CONTRACTED

The price published in the web offer exclusively includes what is specified in the offer itself, and in particular:

a) One (1) application for a negative company name certificate before the Spanish Central Mercantile Registry (RMC).

In the event that the first application is rejected by the RMC, the client shall bear the cost of any subsequent applications required to obtain a valid company name. Such additional cost shall cover the fees established by the RMC for each new application or certificate and must be paid in advance by the client before Gabinete Law proceeds with a new application. Gabinete Law shall inform the client of the exact amount prior to requesting payment and shall not assume such cost under any circumstances.

b) Any other service is expressly excluded from this price, including, without limitation, notarial assistance, representation by an employee or collaborator of Gabinete Law through powers of attorney for the notarial execution of the SL incorporation, or any other administrative or tax procedures, unless expressly stated otherwise in a specific offer.

4. RIGHT OF WITHDRAWAL (CANCELLATION)

In accordance with applicable consumer regulations, the client has a period of 14 calendar days from the date of electronic contracting to withdraw from the contract without penalty, except in the following cases where the service is deemed to have begun with the client’s express consent:

  • When the first telephone call or video call with an advisor or lawyer from Gabinete Law has already taken place following payment by the client.
  • When the Firm has effectively commenced work, including, but not limited to:
    • Submission of the company name application to the RMC.
    • Commencement of preparation of the DUE file (Expediente DUE).

In such cases, the client shall not have the right of withdrawal and the payment shall be non-refundable, as the provision of the service has already begun with their authorization.

5. PRICE ADJUSTMENT FOR COMPANIES WITH SPECIAL CHARACTERISTICS

If  during the analysis or process it is identified that the company subject to the engagement has special characteristics requiring a level of complexity or processing different from the standard, the price shall be adjusted to the applicable rate for that type of company. The client must pay the resulting price difference before continuing the process according to the recommended one.

By way of illustration and without limitation, the following are considered special characteristics:

  • Customized articles of association (when the client does not wish to proceed with the standard articles (Estatutos Tipo)  provided by CIRCE).
  • Professional Limited Liability Company (SLP-Sociedad Limitada Profesional).
  • Presence of corporate shareholders (Spanish or foreigners).
  • Presence of foreign corporate shareholders.
  • Any shareholder being represented by a proxy at the notarial signing.
  • Companies with registered office in Navarra, Guipúzcoa or Álava (due to regional legal specificities).
  • Any other circumstance requiring special treatment under commercial law.

6. SERVICES EXPRESSLY EXCLUDED FROM THE PRICE (SEPARATE FEES)

Unless expressly stated otherwise in a binding written offer, the following services are not included in the base price or in any generic offer, and their provision will generate additional fees, which shall be communicated to the client prior to their execution:

  • Notarial assistance with the presence of an advisor, lawyer or collaborator of Gabinete Law.
  • Representation through notarial powers of attorney by an advisor, lawyer or collaborator of Gabinete Law for any procedure related to the incorporation of the SL (notarial signing, bank account opening, or any other procedure)
  • Drafting of shareholders’ agreements or any other commercial/legal document
  • Any other service not explicitly included in the contracted offer or in the service description available on the website at the time of contracting

7. COMMERCIAL REGISTRY AND NOTARY COSTS NOT INCLUDED. PROVISION OF FUNDS

Fees, tariffs, charges or any other costs derived from actions before the Commercial Registry (other than the company name application included in the price) and before a Notary are under no circumstances covered by the initial price or by any other consideration payable by Gabinete Law.

In particular, the client shall be solely responsible for payment of:

  • Notarial fees for public deeds, beneficial ownership declarations, sole shareholder declarations, certified copies or any other concept
  • Registry fees before the Commercial Registry for company registration, sole shareholder declaration, powers of attorney or any other filing

The client may be required to pay these costs in advance if requested by the Notary or the Commercial Registry in order to proceed.

Gabinete Law shall guide and inform the client at all times but shall not advance or finance these costs under any circumstances.

However, the parties may voluntarily agree on a provision of funds to cover such costs, which shall be regulated in a separate document signed independently and shall not form part of the price of this contract.

8. APPLICABLE LAW AND JURISDICTION

These General Terms and Conditions are governed by Law 7/1998, of 13 April, on General Contracting Conditions.

For any dispute relating to the services arising from this engagement, any dispute derived from the interpretation or performance of this contract, and any other matter related to the services or these GTC, the parties submit to the courts and tribunals of Pamplona (Navarra), expressly waiving any other jurisdiction that may correspond to them.

9. LANGUAGE AND PREVAILING VERSION

These General Terms and Conditions may be made available in several languages.In the event of any discrepancy, contradiction, or divergent interpretation between the different language versions, the Spanish version shall prevail in all cases and shall be the only legally binding version for translation purposes.

10. CLIENT ACCEPTANCE

The client declares that they have had access to these General Terms and Conditions prior to contracting, that they have read and understood them, and that they fully accept them by proceeding with the online payment.
